ロイヤルティー及び栽培等許諾契約について

ロイヤルティーとは、特定の権利を利用する利用者が、権利を持つ者に支払う対価のことで、特許権や著作権、商標権等の知的財産権にかかわるものです。種苗法では、植物の育成者は育成した品種を同法に基づき登録することにより、育成者権と総称される権利を一定の期間占有することができる旨定めています。
弊社が国内において取扱う品種を栽培し、出荷・販売することを希望される場合には、事前に栽培等許諾契約を締結していただき、切花等の最終生産物に対しロイヤルティー料金をお支払いただきます。
ここでは、契約からロイヤルティーのお支払までのおおまかな流れについてご説明いたします。

栽培等許諾契約書の締結

栽培等許諾契約書には、許諾品種の確認、繁殖材の購入方法や自己増殖、譲渡制限にかかる取り決め、ロイヤルティーの請求・支払方法等について規定されています。

[Step 2]　
繁殖材のご注文

繁殖材（穂木）のご注文は、まず、電話や電子メール等の方法で弊社にお問い合わせいただき、DELIFLOR社の直営農場に確認をした上で確定致します。

[Step 3]　
繁殖材の納入・ご請求及びお支払

繁殖材は、航空便で輸送され、植物検疫、税関審査を経て、国内各地に配送します。
なお、国内の輸送方法は原則としてクール便です。

[Step 4]　
栽培・出荷・販売と出荷本数のご申告

切花等の最終生産品として出荷された本数について定期的に申告していただきます。

ロイヤルティー料金のご請求 ／ Royalty invoicing

申告本数に基づきロイヤルティー料金を算出し、ご請求させていただきます。

ロイヤルティーのお支払 ／ Royalty Payments

ご請求内容に基づきロイヤルティー料金をお支払いただきます。

Concerning licensing for cultivation and royalties

Royalty as it is concerned here is payment of compensation that a person or party utilizing a special right or service pays to the owner of connected intellectual property rights such as patent right, copyright, and/or trademark. It is recognized that under the Plant Variety Protection and Seed Act, by the plant breeder registering a fostered variety, the plant breeder has breeder and general rights to such a variety for a certain period of time.
Under the above premises our company executes a license agreement and then collects royalties with those who intend to cultivate, ship, sell, and/or in any manner profit from our varieties.
Below is a general explanation of the process from initial contracting to making royalty payments.

Conclusion of cultivation license agreement

The cultivation license agreement includes provisions concerning, but not limited to confirmation of licensed varieties, purchasing of breeding materials, self-propagation, restrictions on transferability, royalty invoicing, and payment methods.

[Step 2]　
Purchasing breeding materials

In order to purchase breeding materials (cuttings) please first contact us via phone or email and we at the Deliflor cultivation facility will confirm the order.

[Step 3]　
Breeding material delivery, invoicing, and payment

Breeding materials are imported via aircraft, quarantined, undergo customs inspections, and are then shipped out domestically. Furthermore, as a general rule domestic delivery is carried out via a refrigerated courier service.

[Step 4]　
Reporting for cultivation, shipping, and sales amounts

A periodic report containing the number of cut flowers or shipped end-product will be completed.

[Step 5]　
Royalty invoicing

A royalty fee is calculated based on the reported amount and a billing statement is sent.

Royalty Payments

Royalty payments will be made based upon the invoice.
